Position Purpose
Nexpera'sContracts Manager will serve as the primary owner of Nexpera's commercial contracting process and contract lifecycle management program. This role is responsible for supporting the drafting, review, negotiation, administration, and ongoing management of a wide range of commercial agreements while partnering closely with Legal, Commercial, Procurement, Operations, Finance, and other business stakeholders. The ideal candidate combines strong contract management expertise with practical business judgment, exceptional organizational skills, and a collaborative approach to problem solving. This individual will play a key role in helping Nexpera execute agreements efficiently while maintaining compliance with company policies and risk management standards.
Primary Responsibilities:
- Commercial Contracting
- Draft, review, negotiate, and administer a broad range of commercial agreements, including: Supply agreements, Purchase agreements, Master service agreements, Professional services agreements, Statements of work, Non-disclosure agreements, Amendments, and renewals
- Coordinate contract reviews and negotiations with internal stakeholders, legal counsel, and external counterparties.
- Identify contractual, operational, financial, and compliance risks and elevate material issues as appropriate.
- Ensure contracts align with approved templates, contracting standards, and business requirements.
- Support commercial transactions, strategic projects, procurement activities, supplier relationships, and contract renewals.
- Contract Lifecycle Management
- Manage agreements from intake through review, approval, execution, administration, renewal, and closeout.
- Maintain the company's centralized contract repository and supporting documentation.
- Monitor key contractual dates, obligations, renewals, notice provisions, pricing adjustments, and termination rights.
- Coordinate approvals and signatures in accordance with company governance and delegation-of-authority requirements.
- Develop reports, dashboards, and metrics related to contract volume, cycle times, renewals, and risk management activities.
- Process Improvement & Legal Operations
- Maintain and improve contract templates, playbooks, clause libraries, and contracting guidance.
- Drive initiatives that improve contracting efficiency, reduce cycle time, and increase visibility into contractual obligations.
- Support implementation and administration of contract lifecycle management technologies and legal operations tools.
- Develop and deliver practical training for business stakeholders involved in the contracting process.
- Assist with legal operations initiatives, outside counsel coordination, audit support, due diligence activities, and other legal department projects.
- Cross-Functional Partnership
- Collaborate closely with Commercial, Procurement, Operations, Finance, Risk Management, and other business functions.
- Ensure contractual commitments accurately reflect approved commercial terms and operational capabilities.
- Support audit, compliance, and governance requirements by maintaining clear contract records and documentation.
