An established firm serving clients for more than 85 years is seeking a Corporate Associate Attorney with 3+ years of experience to join its team in a hybrid capacity in Manchester, NH. This role will advise businesses on mergers and acquisitions, corporate governance, commercial transactions, entity formation, financing, and general business matters while collaborating with experienced attorneys across the firm's corporate practice.

Salary range: $130,000-$180,000+, contingent on experience

Qualifications:
Juris Doctor degree from an accredited law school
Active membership in good standing with the New Hampshire Bar or eligibility for prompt admission
3+ years of relevant corporate or transactional legal experience
Demonstrated experience drafting and negotiating commercial agreements and transaction documents
Strong knowledge of corporate governance, entity formation, and general business law
Excellent legal research, writing, analytical, and communication skills
Ability to manage multiple matters while meeting deadlines and maintaining attention to detail
Commitment to delivering responsive and practical counsel to clients
Responsibilities:
Advise privately held companies, business owners, executives, and investors on corporate and commercial matters
Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, and related transaction documents
Support mergers, acquisitions, reorganizations, financings, and other strategic business transactions
Counsel clients regarding entity formation, corporate governance, fiduciary duties, and ongoing compliance obligations
Conduct and coordinate legal due diligence for business transactions
Collaborate with attorneys across tax, employment, real estate, and other practice areas
Manage client relationships and communicate practical recommendations clearly and efficiently
Assist with business development initiatives and contribute to the continued growth of the corporate practice
