Corporate Associate – M&A & Venture Capital
Direct Counsel represents a leading law firm seeking a mid-level to senior Corporate Associate with 4–6 years of transactional experience to join its Corporate/M&A practice.
This role offers location flexibility across multiple offices and substantial, client-facing deal work. The ideal candidate will have experience with mid-market M&A, venture capital, and sophisticated corporate transactions, with the opportunity to take on increasing responsibility and direct client interaction.

Responsibilities
- Handle mid-market M&A transactions, including deals ranging from approximately $25M–$500M.
- Draft and negotiate stock and asset purchase agreements and related transaction documents.
- Advise clients on venture capital transactions and sophisticated deal structures.
- Manage due diligence and support transactions through closing.
- Advise private companies, investors, and portfolio companies on corporate matters.
- Handle matters involving entity formation, governance, commercial agreements, and corporate transactions.
- Work directly with clients and partners while managing routine matters independently.
Qualifications
- 4–6 years of corporate and transactional experience.
- Significant experience with M&A and venture capital transactions.
- Experience with mid-market transactions preferred.
- Strong drafting experience with stock and asset purchase agreements.
- Familiarity with NVCA documents.
- Working knowledge of corporate and partnership tax concepts.
- Large law firm experience preferred.
- Excellent academic record and strong writing, communication, and problem-solving skills.
- J.D. from an accredited law school.
- Active bar admission in FL, GA, NC, SC, DC, DE, PA, NJ, NY, or MA, and membership in good standing.
Compensation
- Boston: $235,000–$265,000
- Washington, DC & New York: $240,000–$270,000
- New Jersey: $215,000–$245,000
Compensation varies based on experience, education, licensure, geographic location, market conditions, and other factors. A discretionary bonus may also be available based on performance.
