FERC Energy & Infrastructure Associate Attorney Mid-Level to Senior

Direct Counsel is seeking a FERC Energy & Infrastructure Associate Attorney to join a leading law firm’s Energy & Infrastructure team within its Project Finance group. This opportunity is based in Washington, D.C., with candidates in other U.S. offices also considered.

The firm is seeking a mid-level to senior associate with at least 3 years of experience supporting project finance and M&A transactions in the energy sector. The ideal candidate will have substantial experience practicing before FERC, hands-on legal due diligence experience, and experience reviewing credit agreements and legal opinions.

Experience in renewable energy, specifically wind, solar, or battery storage, is required. Additional experience with power generation, transmission, power purchase agreements, and interconnection agreements is preferred.

• Support sophisticated project finance and M&A transactions in the energy sector.
• Advise clients on FERC regulatory and compliance matters.
• Represent clients in matters involving the Federal Energy Regulatory Commission (FERC).
• Conduct and oversee legal due diligence in connection with energy-sector transactions.
• Review and analyze credit agreements and legal opinions.
• Advise on transactions involving:
  • Wind energy
  • Solar energy
  • Battery storage
  • Power generation
  • Electric transmission
• Assist with the negotiation and documentation of power purchase agreements and interconnection agreements.
• Work collaboratively with project finance, M&A, regulatory, and other transactional attorneys.
• Provide practical legal guidance on regulatory and transactional issues throughout the deal process.

• 3+ years of experience supporting project finance and M&A transactions in the energy sector.
• Substantial FERC practice experience.
• Hands-on experience conducting legal due diligence.
• Direct experience reviewing credit agreements and legal opinions.
• Required: Renewable energy experience involving wind, solar, or battery storage.
• Experience with power generation and transmission transactions preferred.
• Experience with power purchase agreements and interconnection agreements preferred.
• Strong analytical, drafting, negotiation, and communication skills.
• Ability to manage sophisticated matters in a fast-paced transactional environment.
• Must be admitted to the state bar in the jurisdiction of the preferred office location.
