Direct Counsel is seeking aTechnology Transactions & Health Care Privacy Associate Attorney to join a nationally recognized Technology Transactions, Cybersecurity, and Privacy practice. This is an excellent opportunity for an attorney with 4-8 years of experience focused on technology transactions within the health care and life sciences industries.
The ideal candidate will have experience negotiating sophisticated commercial technology agreements and advising clients on privacy, data security, health technology, and emerging AI issues.
Qualifications:
4-8 years of relevant experience.
Technology transactions experience focused on the health care and life sciences sectors.
Experience drafting, reviewing, and negotiating commercial technology agreements, including:
Software and SaaS agreements.
Data licensing and use agreements.
Cloud services agreements.
Professional services agreements.
Strategic collaboration agreements.
Agreements involving digital health products and services.
Working knowledge of privacy and data security laws applicable to health care and health technology, including HIPAA and state health and consumer privacy laws.
Experience with health technology and artificial intelligence matters strongly preferred.
Experience advising on the development, deployment, licensing, and use of AI-enabled products, health data, and digital health solutions is a plus.
Experience negotiating business associate agreements and data protection provisions preferred.
Strong organizational, analytical, prioritization, and critical-thinking skills.
Excellent drafting, writing, negotiation, and communication abilities.
Ability to manage transactions independently and exercise sound professional judgment.
JD from an ABA-accredited law school with strong academic credentials.
Active Bar membership in good standing in the jurisdiction(s) where admitted.
Ability to obtain admission in the state where the attorney will be located.
Responsibilities:
Draft, review, and negotiate sophisticated commercial technology agreements.
Advise health care and life sciences clients on technology transactions and digital health matters.
Counsel clients regarding privacy and data security requirements applicable to health care and health technology.
Advise on HIPAA and state health and consumer privacy laws.
Assist clients with technology transactions involving software, SaaS, cloud services, data licensing, and digital health solutions.
Advise on the legal issues surrounding the development, deployment, licensing, and use of AI-enabled products.
Negotiate business associate agreements and data protection provisions.
Work directly with clients and senior attorneys to structure and negotiate transactions.
Manage transactions independently while collaborating effectively with multidisciplinary legal teams.
Stay current on developments in health technology, artificial intelligence, privacy, and data security laws.
Compensation: $290,000-$420,000 annually, depending on education, experience, internal equity, and other job-related factors.
