Ana Bird Legal Search is identifying experienced investment funds attorneys interested in sophisticated partner-level opportunities involving fund formation, fundraising, and investment management.
This search focuses on attorneys who can independently lead complex fund formation matters, advise fund sponsors, and maintain strong client relationships. Candidates with substantial investment funds experience who currently hold Partner, Senior Associate, or Counsel titles are encouraged to express interest.
Responsibilities
- Lead investment fund formation and fundraising matters from inception through closing.
- Draft, review, and negotiate limited partnership agreements, subscription documents, side letters, and related fund documentation.
- Advise fund sponsors on fund structures, fundraising strategies, and ongoing legal matters.
- Address regulatory considerations involving investment advisers, investment companies, ERISA, and applicable securities laws.
- Coordinate with tax advisors, accountants, placement agents, and other professionals.
- Independently manage client relationships and complex transactional matters.
- Supervise and mentor junior attorneys and paralegals.
- Participate in client development and practice growth initiatives.
Qualifications
- 7 to 10 years of substantive investment funds experience.
- Demonstrated experience independently leading fund formation and fundraising transactions.
- Experience managing fund sponsor relationships.
- Strong drafting, negotiation, analytical, and communication skills.
- Ability to manage sophisticated matters independently.
- Current experience as a Partner, Senior Associate, or Counsel.
- J.D. and active bar admission in good standing.
- Portable business welcome but not required.
