We are looking for an attorney who can bring sound legal judgment and practical business insight to a diverse mix of corporate and commercial real estate matters in Dedham, Massachusetts. This role offers the opportunity to work closely with leadership on transactions, entity governance, contracts, and investment-related activities while handling sophisticated legal work with a high degree of ownership. The ideal candidate is comfortable balancing independent matter management with collaboration across clients, advisors, and other stakeholders.

Responsibilities:

• Provide legal guidance on the creation, governance, and ongoing administration of business entities, including corporations, limited liability companies, partnerships, trusts, and nonprofit organizations.

• Prepare, analyze, and revise a wide range of organizational and transactional documents, such as operating agreements, shareholder arrangements, partnership agreements, resolutions, consents, and related records.

• Support strategic business transactions by assisting with acquisitions, sales, restructurings, mergers, reorganizations, and other corporate changes.

• Counsel owners and senior leaders on governance obligations, decision-making authority, fiduciary considerations, and legal risk exposure.

• Draft, review, and negotiate commercial real estate documents, including purchase and sale agreements, leases, amendments, assignments, and property management agreements.

• Structure, negotiate, and evaluate commercial contracts to align legal protections with business objectives.

• Conduct legal due diligence, summarize key findings, and identify transactional or operational risks that may affect business decisions.

• Help design transaction structures that support investment goals, ownership strategies, and long-term portfolio management needs.

• At least 2 years of legal experience, with a strong foundation in corporate, transactional, or commercial real estate matters.
• Demonstrated ability to draft and negotiate complex legal documents with precision and sound judgment.
• Working knowledge of entity formation, corporate governance, and business transaction support.
• Experience reviewing and advising on commercial contracts and real estate agreements.
• Ability to identify legal and business risks and communicate practical recommendations clearly.
• Strong organizational skills with the capacity to manage matters independently while coordinating with multiple stakeholders.
• Licensed attorney in good standing, or eligible to practice law in the applicable jurisdiction.
